Terms of Service

Company: True North Construction Inc
Effective Date: January 1, 2025
Last Updated: January 1, 2025
Governing Law: Ontario, Canada
Section 01

Acceptance of Terms

By accessing or using the website at truenorthci.ca (the "Website"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use this Website.

These Terms apply to all visitors, users, and others who access or use the Website. They govern your use of the Website only — they do not constitute or replace any written construction contract, project proposal, or service agreement between you and True North Construction Inc.

Note: These Terms govern use of this website. Your actual construction or renovation project will be governed by a separate written contract signed by both parties. In any conflict between these Terms and your project contract, your project contract prevails.

Section 02

Website Use

You may use this Website for lawful purposes only. You agree not to:

  • Use the Website in any way that violates applicable federal, provincial, or local laws or regulations
  • Transmit any unsolicited or unauthorized advertising, promotional material, spam, or any other form of solicitation
  • Attempt to gain unauthorized access to any part of the Website, its server, or any systems connected to the Website
  • Interfere with or disrupt the integrity or performance of the Website
  • Use any automated means, including bots, scrapers, or crawlers, to access the Website or collect content from it
  • Reproduce, duplicate, copy, sell, or exploit any part of the Website without our express written permission
  • Submit false or misleading information through any contact forms or inquiries

We reserve the right to terminate or restrict your access to the Website at any time, without notice, for any reason, including a violation of these Terms.

Section 03

Our Services

True North Construction Inc provides residential and commercial construction, renovation, and landscaping services across Ontario. The information on this Website describes our services generally and is provided for informational purposes.

Website information is not a binding offer. Pricing, availability, timelines, and service scope described on this Website are general in nature and are not binding quotes or commitments. All actual service engagements require a written proposal and signed contract.

Project images and descriptions shown on the Website represent past work and are provided for illustrative purposes. Individual project results will vary depending on the specific scope, site conditions, materials selected, and other factors unique to your project.

We reserve the right to modify, suspend, or discontinue any service or aspect of our Website at any time without notice.

Section 04

Quotes, Proposals & Contracts

All construction and renovation services are governed by separate written agreements between you and True North Construction Inc. The following general terms apply to our quoting and contracting process:

  • Written proposals: All project proposals are provided in writing and specify the scope of work, materials, timeline, and total price. Verbal representations, estimates discussed in conversation, or information on this Website do not constitute a binding commitment.
  • Proposal validity: Written proposals are valid for 30 days from the date of issue unless otherwise specified. Material costs and availability are subject to change after this period.
  • Contract requirement: No work will commence until a written contract has been signed by both parties and the required deposit has been received.
  • Change orders: Any changes to the agreed scope of work after contract signing must be documented in a written change order signed by both parties before the change is implemented. We do not perform additional work on verbal instruction alone.
  • Permit requirement: We do not commence work on projects requiring permits until all required permits have been issued by the applicable authority having jurisdiction.
Section 05

Payment Terms

Payment terms for construction and renovation projects are set out in the written project contract. General terms include:

  • Deposit: A deposit is required at contract signing before any work begins. The deposit amount is specified in the project contract.
  • Progress payments: For larger projects, payments are structured around project milestones as set out in the contract. Milestone payments are due upon completion of each defined phase.
  • Final payment: The final payment is due upon project completion and final walkthrough, as specified in the contract.
  • Late payments: Amounts not paid when due may be subject to interest at the rate specified in the contract, or as permitted under Ontario law.
  • Lien rights: True North Construction Inc reserves all rights available under the Construction Act (Ontario), including the right to register a lien against the property for unpaid amounts.

All prices in our proposals and contracts are in Canadian dollars and are subject to applicable taxes (HST) as required by law.

Section 06

All content on this Website — including text, graphics, photographs, logos, icons, and design — is the property of True North Construction Inc or its content suppliers and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

You may view, print, and download content from the Website for your own personal, non-commercial reference only, provided you do not modify the content and retain all copyright and proprietary notices.

You may not:

  • Reproduce, republish, upload, post, transmit, or distribute Website content without our prior written consent
  • Use our name, logo, or branding in any way without prior written permission
  • Use Website content for commercial purposes without express written authorization
  • Modify, create derivative works from, or reverse engineer any part of the Website

Warranties on actual construction work are set out in your project contract and are separate from these Website terms. Our workmanship warranty applies to completed projects as specified in the written contract.

Section 08

Limitation of Liability

To the fullest extent permitted by applicable law, True North Construction Inc, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

  • Your use of or inability to use this Website
  • Any errors or omissions in the content of this Website
  • Any unauthorized access to or use of our servers or any personal information stored therein
  • Any interruption or cessation of transmission to or from our Website

In no event shall our total liability to you for all claims arising from your use of this Website exceed one hundred Canadian dollars (CAD $100.00).

This limitation of liability applies to the Website only. Liability for construction work performed under a signed contract is governed by that contract and applicable Ontario law, including the Construction Act and relevant consumer protection legislation.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

Section 09

This Website may contain links to third-party websites, including our verified profile at contractor-finder.ca and other external platforms. These links are provided for your convenience only.

We do not control these third-party websites and are not responsible for their content, privacy practices, or terms of use. The inclusion of a link does not imply our endorsement of the linked website or its operator.

You access third-party websites at your own risk, and we encourage you to review the terms of use and privacy policies of any website you visit.

Section 10

Privacy

Your use of this Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Website, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy.

Our Privacy Policy describes how we handle the information you provide to us through this Website, including through our contact forms and inquiry submissions.

Section 11

Governing Law & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of this Website shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, and you hereby consent to the personal jurisdiction of such courts.

For disputes relating to construction or renovation projects (as opposed to Website use), the governing law and dispute resolution process will be as set out in your signed project contract, which may include provisions for mediation or arbitration prior to litigation.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Section 12

Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to this page, with the "Last Updated" date revised accordingly.

Your continued use of this Website after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

Material changes that affect your rights or obligations will be noted prominently on this page. We will not apply changes retroactively to signed construction contracts — those remain governed by the terms in effect at the time of signing.
